1. Scope and acceptance
These Terms of Service (the "Terms") govern the relationship between Helvetica Credit Investment AG, a company limited by shares incorporated under the laws of Switzerland with its registered office at Bahnhofstrasse 64, 8001 Zürich, Switzerland and registered in the Commercial Register of the Canton of Zurich with VAT number CHE-383.300.010 MWST ("HCI", "we", "us"), and any person who registers an account on our platform (the "Client", "you"). By creating an account you confirm that you have read, understood and accepted these Terms together with our Privacy Policy, Risk Disclosure, Anti Money Laundering and Know Your Customer Policy, Refund Policy and Complaints Policy, each of which forms part of the agreement between us.
If you do not agree with any part of these Terms you must not register or use the platform. We may amend these Terms from time to time. Material changes will be notified to you by email and through the client portal at least fourteen days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the amended Terms.
2. Eligibility
To open an account you must be at least eighteen years of age, have full legal capacity, and not be a resident or citizen of any jurisdiction in which the services described on this platform cannot lawfully be offered. Legal entities must be duly incorporated and represented by an authorised signatory. We reserve the right to refuse any application without giving reasons and to request additional information at any time to confirm eligibility.
3. Account registration and security
You must provide accurate, current and complete information during registration and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. We strongly recommend enabling two factor authentication. You must notify us immediately at the support address published on our website if you suspect any unauthorised access. HCI is not liable for losses arising from the unauthorised use of your credentials where you have failed to protect them with reasonable care.
Each natural person may hold one account only. Accounts are personal and may not be transferred, assigned or shared. We may suspend or close accounts that appear to be duplicates or that are operated on behalf of undisclosed third parties.
4. Identity verification
We are required to identify our clients and to understand the source of their funds. You agree to provide identity documents, proof of address and, where requested, evidence of the source of funds. Verification is tiered. The limits attached to each tier are shown on the verification page of the client portal and may be changed in accordance with our regulatory obligations. We may suspend deposits, investments or withdrawals until outstanding verification requirements are satisfied.
5. Investment plans
HCI offers a range of investment plans, each defined by a minimum and maximum allocation, a term in days and a target daily yield. Plan parameters in force at the time an investment is created are fixed for that investment and are recorded on the investment certificate. Target yields are not guaranteed. The investment committee may adjust the parameters of plans for new investments at any time. Adjustments do not affect investments already running.
By creating an investment you authorise HCI to allocate the stated amount from your wallet to the chosen plan. Yield is calculated daily and credited to your wallet. Principal is returned to your wallet on the final day of the term. If you enable automatic reinvestment, the matured amount is reinvested into a new position in the same plan on the same day, subject to the plan being available and the amount being within its allocation band.
6. Early exit
You may request early exit from an active investment at any time through the client portal. On early exit the principal, less the early exit fee applicable to the plan, is returned to your wallet. Yield already credited remains yours. Yield not yet credited is forfeited. Early exit is irreversible and we cannot reinstate an exited investment.
7. Deposits
Deposits may be made in supported digital assets through our payment processor or by bank transfer to the account details shown in the client portal. Deposits are credited net of any processing fee shown before confirmation. Digital asset deposits are converted to United States dollars at the rate fixed by the processor when the payment is created. Deposits sent to an incorrect address, on an unsupported network or without the required reference may be unrecoverable and we accept no liability for such losses. Bank deposits must originate from an account in your own name.
8. Withdrawals
Withdrawals may be requested to any address or bank account that you have registered in your address book. New addresses are subject to a twenty four hour activation period. Withdrawals are subject to daily limits determined by your verification tier, the minimum withdrawal amount published in the portal and the fee schedule shown before confirmation. The requested amount is reserved from your wallet immediately. We review every request and normally release approved withdrawals within one business day. We may delay or decline a withdrawal where we have reasonable grounds to suspect fraud, money laundering, a breach of these Terms or where required by law. Declined withdrawals are refunded to your wallet in full.
9. Fees
The fee schedule in force is published within the client portal and is displayed on every deposit and withdrawal form before you confirm. Fees are deducted automatically and recorded as separate entries in your transaction ledger. We may amend the fee schedule with fourteen days notice.
10. Referral programme
Clients may invite others to the platform using a personal referral link. Referral commissions are calculated as a percentage of the investments made by referred clients, at the rates shown on the referrals page, and are credited to your wallet. Self referral, the use of misleading promotional statements, unsolicited bulk communication and any other abuse of the programme will result in forfeiture of commissions and may lead to account closure.
11. Prohibited conduct
You must not use the platform for any unlawful purpose, attempt to gain unauthorised access to any system, interfere with the operation of the platform, submit false information or documents, use automated tools to interact with the platform without our written consent, or act in a way that could damage the reputation of HCI. We may suspend or terminate accounts engaged in prohibited conduct and may report such conduct to the competent authorities.
12. Suspension and termination
You may close your account at any time once your wallet balance is zero and you hold no active investments. We may suspend or close your account with immediate effect where required by law, where we reasonably suspect prohibited conduct, or where you are in material breach of these Terms. On closure for reasons other than fraud or legal prohibition, remaining funds will be returned to a verified account in your name after deduction of applicable fees.
13. Liability
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for gross negligence or wilful misconduct. Subject to that, HCI is not liable for indirect or consequential losses, loss of profit, loss of opportunity, or losses arising from events beyond our reasonable control, including failures of blockchain networks, payment processors, banking partners or telecommunications. Investment returns are not guaranteed and you may lose some or all of your capital.
14. Data protection
We process your personal data in accordance with our Privacy Policy, the Swiss Federal Act on Data Protection and, where applicable, the General Data Protection Regulation of the European Union.
15. Communications
We communicate with you by email and through the client portal. Every email we send includes your personal anti phishing code once you have set one. You are responsible for keeping your email address current and for reviewing the notifications we send.
16. Governing law and jurisdiction
These Terms are governed by the substantive laws of Switzerland, excluding its conflict of law rules. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Zurich, Switzerland, subject to any mandatory places of jurisdiction provided by law. Before commencing legal proceedings you agree to make use of the complaints procedure described in our Complaints Policy.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and the invalid provision shall be replaced by a valid provision that most closely reflects its economic intent.
